Agnieszka Woldan-Waleczek

Agnieszka specialises in corporate and transactional law. She has advised a number of foreign investors both at the inception of their investment projects and at later stages of their operations in Poland. She has been involved in the establishment of many new businesses and in capital transformations of the existing ones. Agnieszka has acted on a number of M&A transactions for local and international clients and participated in due diligence processes carried out with respect to the entities they acquired.  

She leads a team responsible for providing day-to-day corporate services to companies, in particular to the ones belonging to international groups. She advises clients on regulatory problems, including those relating to AML regulations. Moreover, she assists in the processes of identification of ultimate beneficial owners (UBOs) and the required registrations and filings with the National Court Register (KRS), the Repository of Financial Documents (RDF), and the Central Register of Ultimate Beneficial Owners (CRBR).

Agnieszka has experience in preparing corporate governance documents for companies, drafting agreements governing relations between shareholders, and developing internal procedures and rules for the operation of bodies of a company.

In addition, she drafts and reviews commercial contracts and cooperation agreements between businesses, including intra-group agreements (MSAs, SLAs). She also has experience in commercial disputes.

She delivers training courses for members of the management teams, especially management boards, designed to prepare them for leadership roles in their organisations.

Her areas of interest include ESG, supporting companies in their preparations for non-financial sustainability reporting, and creating a legal framework for their operation in this area.

Agnieszka has been with Wiewiórski Legal for almost 20 years, rendering services to companies belonging to large groups that operate in a range of sectors, including the automotive, HVAC, IT, food, household appliances, and pharmaceutical sector, retail chains as well as BPO/SSC service centres.

She provides legal aid in Polish and English. 

She earned her master’s degree in Law from the Faculty of Law, Administration and Economics at the University of Wroclaw. In 2005, she was entered on the list of attorneys at law at the Regional Chamber of Attorneys at Law in Wroclaw. Prior to that, she completed postgraduate training for a judge at the Regional Court in Wroclaw and passed the state examination for a judge.

Her interests include photography and psychology. She is a big advocate of NVC (nonviolent communication). In her spare time, she learns Italian and plans her next travels.
