Starting a business in Poland

Poland is an attractive place to do business due to its geographical location, access to qualified personnel and still relatively low costs of conducting business.

We provide comprehensive advisory services to clients going through the process of establishing a business in Poland. We help foreign and Polish investors choose the most suitable form of doing business in Poland and then guide them through the entire process of setting up and starting the business.

In order to avoid time-consuming and complicated restructuring processes after the launch, it is important to ensure that business is conducted in the optimal legal form from the very beginning and that the content of the formation documents is tailored to the individual needs of the investors, the size of the business and the standards of the investor’s group.

What we do

Once the appropriate form of doing business in Poland has been discussed and agreed with the client, we prepare all the corporate documents necessary for the establishment of the entity in question, draw up the articles of association and carry out the procedure of entering the business into the relevant registers. When drafting documents, we take into account the specific needs of our clients and secure their interests in shareholders’ agreements.

Where time is a key factor in starting a business, we propose standard wording of corporate documents or assist in acquiring shares in a shelf company.

We also provide support in setting up bank accounts, entering into agreements regarding the provision of an address for the registered office of the entity, and obtaining electronic signatures for the representatives of Polish entities, which are necessary for conducting operations in the territory of Poland. Through our partners, we offer access to accounting, tax, payroll and HR services.

We carry out all processes remotely (on the basis of powers of attorney granted to us) without the need for the founders or their representatives to come to Poland.

Following the formation of clients’ new organisational units, we provide legal support in all subsequent steps that need to be taken to ensure their operational readiness. In particular, we assist clients in matters relating to the employment of staff and compliance with regulatory requirements applicable to their type of business. We make sure that all formalities relating to starting a business in Poland are completed efficiently and in accordance with all relevant requirements.
