Construction and lease of industrial buildings

As recently as a quarter of a century ago, the predominant model for running an industrial business was to acquire or construct one’s own plant with a plan to maintain it for decades.

These days, conducting operations on the basis of a multi-year lease of space from a specialised developer is a solution that industrial companies choose just as often as they decide to build their own facilities. The construction of a new manufacturing, logistics or warehouse facility, irrespective of the format of the project, is a complex process that requires legal advice at many stages.

What we do

We support industrial clients from different sectors in projects involving the construction of large-scale industrial buildings in a variety of formats. 

We assist businesses in making a decision on the format for the construction process and in selecting the property and the partner for the project. In the case of green-field projects, we conduct due diligence on the land and then provide comprehensive services in relation to the contracting of architects, designers, consultants and works contractors (at the client’s request we also participate in tender committees).  

As regards lease-based projects, we analyse and revise the contract templates used by developers, both in the build-to-suit format (where a new facility is constructed to suit the client’s specific requirements) and with respect to multi-tenant buildings. 

We participate in negotiations and advise on the preparation of documents concerning the adaptation of the leased property to suit the needs of a specific tenant. We also carry out bespoke projects involving the sale of an existing facility by the client to a professional developer with a view to subsequently leasing it back on the terms and conditions negotiated between the parties.  

In all types of projects, we also offer day-to-day advice to project owners during the implementation phase: we participate in construction project meetings, help carry out necessary changes in the form of amendments and change orders, advise on settlements, assist in acceptance procedures, and, in the final steps, we conduct negotiations on behalf of project owners to ensure the proper settlement of the project, as well as represent project owners in disputes concerning the timeliness or quality of the completed project.
