Advice for management board members

Appointment to a company’s management board is undoubtedly a great distinction and recognition of a manager’s skills and competences.

However, it is also a great responsibility. In order to serve as a board member well and safely, it is not enough to have exceptional business skills. Legal knowledge of the operation of companies and the legal environment as well as an awareness of legal risks and principles of liability are also necessary.

What we do

We are advisers with many years of experience in helping management board members understand the legal obligations that come with their role, and advising them on how to perform that role to reduce liability risks.

We assist board members in choosing the appropriate form of employment and provide them with training regarding company law, board member duties, liability and methods of limiting such liability.

In addition, we prepare guides for management board members with the most important practical information on the operation of the company in question and the principles of potential liability.

We implement solutions that limit the liability of management board members in companies – the rules of procedure for company bodies, appropriate organisational structures, the scope of duties for each position, powers of attorney, and delegation of authority within the company structure. We also advise board members on day-to-day operations, helping them make key decisions with regard to their companies’ affairs.
