The process of business development often involves the need to acquire a company in Poland, transform an existing company, conduct a merger or division, or make changes to the capital structure of a Polish company. Sometimes, it is also necessary to carry out a liquidation of a business in Poland. 

We have many years of experience in advising on matters relating to company law and on carrying out M&A processes as well as comprehensive reorganisations and liquidations of business entities in Poland.

What we do

We provide comprehensive services in relation to the above processes.  

We advise clients on both asset deals (which involve specific assets or the business) and share deals (which involve shares). In addition, we participate in intra-group restructuring processes. We support clients in complex, multi-faceted M&A transactions with external domestic and foreign investors. Our clients include both large corporations (domestic and foreign) and individual investors or entrepreneurs, as well as family businesses. In our work, we represent the investors as well as the target companies. 

First, we assist clients in choosing the optimal transaction model or restructuring method, then in taking preparatory steps (spin-off of a part of the business from the existing company, due diligence processes, proceedings before the Office of Competition and Consumer Protection (UOKiK)), and subsequently we carry out the transaction in question. We prepare all transaction documents, investment agreements and security documents, and also represent clients in negotiations with shareholders, sellers of shares and investors. 

M&A transactions require the knowledge and experience of not only corporate law but also other fields, depending on the type of transaction and its subject matter. M&A projects frequently involve the acquisition of part or all of a business and the transfer of employees (TUPE) as well as the necessity to secure financing or to transfer real estate.
